Protecting confidential information

I've covered a bit about trade secret issues for businesses. An important business issue is to actually create processes to ensure that you are protecting the practical secrecy of your trade secrets so that you don't have to sue. This provides a two-fold benefit. First, you may not have to sue if you avoid disclosure. Second, by maintaining the confidentiality of your trade secrets, you have a much easier time when you go to court convincing that court that your information is a valid trade secret. By ensuring that your information is never disclosed outside of a confidential relationship or confidentiality agreement, you make your trade secrets that much more protectable.

What are some practical ways you can maintain the confidentiality of your trade secrets? Confidentiality agreements. Remember, we discussed these agreements earlier in this course. Be wise with these and be sure that you don't overreach. For example, trying to make an employee not compete in a state like California. Keeping physical information under lock and key.
